1. Introduction

Welcome to CarriFreight Logistics. By accessing our website, using our dispatch, factoring, or back-office services, or communicating with us via text message, you agree to be bound by these Terms of Service. Please read them carefully.

If you do not agree with any part of these terms, you should not use our website or services.


2. Messaging Terms & Conditions

CarriFreight SMS/Text Messaging Program

By providing your mobile phone number and opting in, you agree to receive text messages from CarriFreight Logistics regarding your trucking operations and our services.

a. Types of Messages You Can Expect to Receive

You agree to receive informational and operational text messages from CarriFreight Logistics, including but not limited to:

  • Load Dispatch Offers: New load opportunities matching your equipment and preferences
  • Delivery Status Updates: Pickup and delivery confirmations, schedule changes
  • Payment Notifications: Factoring status, payment confirmations, settlement alerts
  • Customer Service Communications: Support responses, issue resolutions, follow-ups
  • Operational Alerts: Compliance reminders, document requests, urgent notices
  • Account Notifications: Onboarding updates, rate changes, service announcements

We do not send marketing or promotional text messages without separate, explicit consent. All messages are directly related to your business operations with CarriFreight Logistics.

b. Message Frequency

Message frequency varies based on your activity level and the services you use.

  • Active operators (regular loads): 3–8 messages per week
  • Occasional operators: 1–5 messages per month
  • Inactive periods: 1–2 messages per month (service updates only)
  • Urgent operational alerts: As needed

You will never receive excessive or spam messages. We respect your time and attention.

c. Message and Data Rates

Message and data rates may apply depending on your mobile carrier and service plan. CarriFreight does not charge you for sending text messages, but your carrier’s standard messaging and data fees may apply. Please contact your mobile carrier for details regarding your specific plan.

d. How to Get Help (HELP)

e. How to Opt Out (STOP)

You can opt out of receiving future text messages from CarriFreight at any time:

  • Reply STOP to any text message you receive from us
  • Email us at: hello@carrifreight.com with “SMS STOP” in the subject line
  • Call us at: (737) 707-3717 and request removal

After you opt out, you will receive one final confirmation message acknowledging your request. No further messages will be sent unless you re-opt in through our website or by contacting us directly.

Opt-out requests are processed immediately. We honor your preferences.


3. Eligibility and Registration

By using our services, you represent and warrant that:

  • You are at least 18 years of age
  • You are a legal owner-operator, fleet owner, or authorized representative of a trucking business
  • The information you provide to us is accurate, current, and complete
  • You have the authority to bind your company to these Terms
  • You are not located in a country that is subject to U.S. trade sanctions

CarriFreight reserves the right to refuse service, terminate accounts, or cancel registrations at our sole discretion.


4. Services Description

CarriFreight provides the following services, subject to separate service agreements where applicable:

a. Dispatch Services

We locate, negotiate, and book freight loads matched to your specific equipment type. We do not guarantee any minimum number of loads or specific revenue amounts.

b. Factoring Services

We facilitate fast payment through our network of factoring partners. Actual payment speed depends on partner processing times, broker verification, and other factors outside our direct control.

c. Back-Office Services

We provide administrative support including IFTA reporting, invoicing, collections, and compliance tracking. We exercise reasonable care but are not responsible for errors caused by inaccurate information provided by you or third parties.


5. Your Responsibilities

As a user of CarriFreight services, you agree to:

  • Provide accurate and complete information for all loads and operations
  • Maintain valid operating authority, insurance, and required licenses
  • Comply with all federal, state, and local laws and regulations
  • Notify us immediately of any changes to your contact information or operating status
  • Pay all applicable fees as outlined in your service agreement
  • Not use our services for any illegal, fraudulent, or unauthorized purpose

6. Fees and Payment

Fees for our services are outlined in your separate service agreement or onboarding documents. We reserve the right to modify fees with 30 days’ written notice.

  • Dispatch fees are typically calculated as a percentage of each load’s gross revenue
  • Factoring fees are set by our partner companies and disclosed at onboarding
  • Back-office fees are billed monthly or quarterly based on your service package

All fees are non-refundable except as expressly provided in your service agreement.


7. Intellectual Property

All content on our website and in our communications—including text, graphics, logos, icons, images, and software—is the property of CarriFreight Logistics or its content suppliers and is protected by U.S. and international copyright laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, or commercially exploit any content without our express written permission.


8. Limitation of Liability

To the maximum extent permitted by law, CarriFreight Logistics and its officers, employees, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to:

  • Your use or inability to use our services
  • Any loads booked, delayed, or cancelled
  • Payment delays, broker non-payment, or factoring disputes
  • Any errors, omissions, or inaccuracies in information provided
  • Any unauthorized access to or alteration of your data

Our total liability to you for any claim shall not exceed the total fees paid by you to CarriFreight Logistics during the twelve (12) months immediately preceding the claim.


9. Indemnification

You agree to indemnify, defend, and hold harmless CarriFreight Logistics and our affiliates, officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from:

  • Your use of our services
  • Your violation of these Terms
  • Your violation of any applicable law or regulation
  • Any load you transport under our dispatch services
  • Any information you provide that is inaccurate or misleading

10. Third-Party Services and Partners

Our services may integrate with or link to third-party websites, applications, or services, including factoring companies, ELD providers, load boards, and broker networks. We do not control these third parties and are not responsible for their content, policies, or practices.

Your interactions with third-party partners are solely between you and them. CarriFreight Logistics disclaims all liability arising from such interactions.


11. Termination

We value our relationships and hope to serve you for years to come. However, either party may terminate services as follows:

a. By You

You may cancel services at any time with 30 days’ written notice. Fees already incurred remain payable. We will assist with the transition to ensure business continuity.

b. By Us

We may suspend or terminate your access to services immediately without prior notice for:

  • Violation of these Terms or your service agreement
  • Fraudulent, abusive, or illegal activity
  • Non-payment of fees
  • Conduct that may cause legal liability or harm to our brand

c. Effect of Termination

Upon termination, your right to access and use our services ceases immediately. Provisions that by their nature should survive termination shall survive, including intellectual property, limitation of liability, indemnification, and dispute resolution.


12. Changes to These Terms

We may update these Terms & Conditions from time to time to reflect changes in our practices, legal requirements, or industry standards. We will notify you of material changes by:

  • Posting the updated Terms on this page with a revised Effective Date
  • Sending an email notification (for active clients)
  • Sending a text message notification for significant changes to SMS Terms

Your continued use of our services after such changes constitutes your acceptance of the updated Terms.


13. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of [Your State], without regard to its conflict of laws principles.

Any dispute arising out of or relating to these Terms or our services shall be resolved through good-faith negotiations. 15. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect.


16. Entire Agreement

These Terms & Conditions, together with your separate service agreement(s) and our Privacy Policy, constitute the entire agreement between you and CarriFreight regarding your use of our website and services and supersede all prior agreements and understandings, whether written or oral.
